Terms of Service

These terms govern your use of solidSF, the browser CAD service operated by solidSF, Inc. Read them — by using the service you agree to them.

1. Acceptance

By accessing or using solidSF (the "Service") at solidsf.com, solidsf.com, or any other domain operated by solidSF, Inc. ("solidSF", "we", "us"), you agree to these Terms of Service ("Terms"). If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree, do not use the Service.

2. Account

To use most features of the Service you must create an account. You agree to provide accurate information, keep it current, and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us at security@solidsf.com immediately if you suspect unauthorised access. You must be at least 13 years old to use the Service; users under 18 must have parental or guardian consent where required by local law.

4. Subscription and billing

solidSF offers a free tier and paid tiers ("Pro", "Team", "Enterprise") described at solidsf.com/pricing. Paid plans are billed in advance, monthly or annually, via Stripe. By providing a payment method you authorise us (through Stripe) to charge the current fees plus any taxes for the selected plan.

Fees are quoted in US dollars unless otherwise stated. We may change prices on at least 30 days' notice; price changes apply at the start of your next billing cycle. Unpaid invoices may result in downgrade to the free tier or suspension of access to paid features.

5. Your content

You retain all right, title, and interest in any data, designs, drawings, files, parameters, or other content you create, upload, import, or otherwise submit to the Service ("Your Content"). Your Content is yours. We claim no ownership over your parts, assemblies, drawings, or any output the Service produces from your inputs.

6. License you grant us

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, copy, transmit, display, modify (for format conversion and rendering), and create derivative works of Your Content solely as necessary to provide and improve the Service to you and any collaborators you authorise. This licence ends when Your Content is deleted from the Service, except that we may retain anonymous aggregated statistics and backups for the windows described in our privacy policy.

We do not use Your Content to train third-party AI models. Optional AI features send only the inputs you explicitly submit to the configured model provider, under contractual terms that prohibit training on customer content.

7. Intellectual property

The Service, including the solidSF Rust CAD kernel, AI agents, user interface, brand, documentation, and all related intellectual property, is owned by solidSF, Inc. and protected by applicable law. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. No rights are granted by implication, estoppel, or otherwise. Feedback you provide may be used by us without restriction or compensation.

8. Cancellation and refund

You may cancel a paid subscription at any time from inside your workspace settings. Cancellation takes effect at the end of the then-current billing period; you keep access to paid features until that date. We offer pro-rated refunds on annual plans cancelled within the first 30 days of a new billing year, less the value of any usage already consumed. Monthly plans are non-refundable except as required by law. Enterprise contracts are governed by the order form between us.

9. Service availability and disclaimer

We work hard to keep the Service available and accurate. However, the Service is provided "as is" and "as available". To the maximum extent permitted by law, solidSF disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and warranties arising from course of dealing or usage of trade. You are responsible for verifying that any output (parts, drawings, toolpaths, generated AI suggestions) is fit for your intended use before manufacturing, deployment, or safety-critical application.

10. Limitation of liability

To the maximum extent permitted by law, in no event will solidSF, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with the Service, whether based in contract, tort, or any other legal theory, even if we have been advised of the possibility. Our aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim, or US$100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless solidSF, Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third-party right.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service, our users, or third parties. On termination, your right to use the Service ends; sections that by their nature should survive (ownership, licence grants, disclaimers, liability limits, indemnification, governing law) will survive.

13. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. The state and federal courts located in San Francisco County, California have exclusive jurisdiction over any matter not subject to arbitration.

14. Disputes

Before filing a claim, you agree to first attempt to resolve the dispute informally by contacting legal@solidsf.com. If we cannot resolve it within 60 days, either party may bring an individual action in the courts identified above or, where elected by both parties in writing, by binding arbitration under the rules of JAMS. You and solidSF agree that any dispute will be brought only in an individual capacity, and not as a class, consolidated, or representative action. Some jurisdictions do not allow class action waivers; this section applies only to the extent permitted by law.

15. Changes

We may update these Terms when our practices, the Service, or applicable law change. Material changes will be announced in-app or by email at least 14 days before they take effect, and the "Last updated" timestamp at the top will be revised. Continued use after the effective date constitutes acceptance. If you do not agree to a change, your remedy is to stop using the Service.
